These Terms and Conditions of Use (“Terms”) govern your access to and use of jvgroupinc.com and any related sites, content, tools, and services we make available (collectively, the “Site” or “Service”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
The Service is intended for persons 18 years of age or older. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you accept these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity, in which case “you” and “your” refer to that entity.
JV Group provides information and advisory services related to real estate and hospitality investment, including hotel transactions (acquisition, disposition, and asset management), USDA Business & Industry loan advisory for hospitality projects, and related real estate investment and brokerage services (the “Services”). Content on the Site is provided for general informational purposes only and does not constitute financial, legal, tax, or investment advice. Any engagement for JV Group's professional services is subject to a separate signed agreement between you and JV Group.
All content on the Site — including text, graphics, logos, images, data compilations, and software — is owned by JV Group or its licensors and is protected by copyright, trademark, and other intellectual property laws (“Content”). You may access and view Content for personal, non-commercial purposes only. You may not copy, reproduce, distribute, modify, transmit, or create derivative works from any Content without JV Group's express written permission.
Any feedback, ideas, or suggestions you submit to JV Group through the Site become the exclusive property of JV Group, and you hereby assign to JV Group any rights you may have in such feedback.
JV Group respects the intellectual property rights of others and will respond to properly submitted notices of alleged copyright infringement. JV Group may terminate the access of users who are found to repeatedly infringe copyright.

JV GROUP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, NOR DOES IT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT, INCLUDING ANY INVESTMENT, FINANCING, OR MARKET INFORMATION PROVIDED ON THE SITE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JV GROUP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF JV GROUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL JV GROUP'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
You agree to defend, indemnify, and hold harmless JV Group and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.
Agreement to Arbitrate. You and JV Group agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved through binding arbitration, rather than in court, except that either party may bring an individual action in small claims court, or seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
Arbitration Rules and Governing Law. This agreement to arbitrate evidences a transaction in interstate commerce, and the Federal Arbitration Act governs its interpretation and enforcement. Arbitration will be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and, where applicable, its Supplementary Procedures for Consumer Related Disputes (the “AAA Rules”), then in effect.
Arbitration Process. A party wishing to initiate arbitration must submit a written Demand for Arbitration to the other party as specified in the AAA Rules. The arbitrator will be a retired judge or an attorney licensed to practice law in the State of California, selected from the AAA's roster of arbitrators in accordance with the AAA Rules.
These Terms and your use of the Service will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws provisions. Subject to the arbitration provision above, you and JV Group agree to submit to the personal jurisdiction of the state or federal courts located in Orange County, California, for any actions not subject to arbitration.
JV Group may modify, suspend, or discontinue the Service, in whole or in part, at any time without prior notice. JV Group may also revise these Terms from time to time. Updates will be posted on the Site, and the “Last Updated” date above will reflect the most recent revision. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms.
JV Group may suspend or terminate your access to the Service at any time, with or without cause or notice, including for conduct that JV Group believes violates these Terms or is harmful to other users, third parties, or JV Group's business interests.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between you and JV Group regarding the Service and supersede any prior agreements on this subject.
